Required Qualifications

  • Minimum 8–10+ years of progressive advancement or fundraising leadership experience with documented, measurable fundraising results.
  • Demonstrated success securing six- and seven-figure gifts and leading multi-channel fundraising programs.
  • Proven experience developing and managing annual giving, major gifts, planned giving, and corporate/foundation fundraising initiatives.
  • Strong experience with donor databases and CRMs (e.g., Raiser’s Edge, Salesforce for Nonprofits, or equivalent), including reporting and data-driven decision-making.

Key Responsibilities

Define Legal Strategy & Risk Management

  • Develop and maintain a legal and reputational risk management framework, including proactive guidance, policies, and training to build organizational capacity.
  • Establish and update legal templates, practices, and policies that balance compliance with flexibility to accelerate execution without compromising accountability.
  • Work with outside counsel to define and implement intellectual property and licensing strategies that safeguard XQ’s assets and brand while enabling strategic collaboration and adoption.
  • Shape legal strategies for programs, products, partnerships, and governance to ensure initiatives launch with clear expectations, protections, and measurable outcomes.

Lead & Drive Legal Leadership and Transformation

  • Advise and issue spot to ensure all organization operations and activities comply with non-profit status.
  • Protect XQ’s intellectual property and ensure compliance with data privacy laws while enabling content sharing aligned with “making in the open” principles.
  • Represent legal perspective in cross-functional transformation initiatives such as AI/OSS governance and California workplace requirements.
  • Drive continuous legal education and knowledge sharing across the organization to enable confident decision-making.
  • Ensure timely legal review of all contracts and grants in support of operational and programmatic goals.
  • Implement cost-effective contracting strategies, pushing decisions to the right level and right-sizing legal documentation.
  • Design flexible partnership structures (e.g., IP co-development) that support innovation and transformation at scale.

Manage Legal Operations & Team Performance

  • Oversee cost-effective legal operations, including legal technology adoption, reporting, and strategic use of outside counsel.
  • Manage the legal team’s development and performance to ensure responsive, high-quality legal support.
  • Streamline contract and grant processes through cross-functional alignment that accelerates agreements while maintaining protections.
  • Achieve predictable and efficient outside counsel spend, including scope control and delegation, with a target of double-digit reductions.

Collaborate Cross-functionally

  • Partner with Finance, HR, and IT to integrate legal processes with operational and financial systems, reducing risk and increasing efficiency.
  • Advise on HR and Workplace legal compliance.
  • Collaborate with vendors and partners to resolve conflicts efficiently while preserving relationships and reputation.
  • Support leadership team with aligned nonprofit policies and practices that protect XQ and its partners.
  • Work with programmatic and product teams to embed legal considerations early, enabling impactful launches with built-in risk management.
  • Partner with senior leadership on Board governance matters to ensure transparent credibility and fiduciary effectiveness.

Qualifications

  • J.D. degree and active membership in good standing with at least one U.S. state bar, preferably CA, NY or DC.
  • 7+ years legal experience, preferably 3-5 years in house or with a law firm practice serving non-profit clients.
  • Demonstrated expertise in nonprofit law, contracts including grants, intellectual property, compliance and general operations and risk management.
  • Proven ability to integrate organizational strategy with legal operations to enable mission-driven execution.
  • Strong leadership skills with experience managing teams and outside counsel including legal budget.
  • Excellent communication and collaboration skills, with the ability to influence at the executive level.

What You'll Do

This role will also support day to day initiatives and long-term strategies. This is a broad business lawyering role that includes strategic and transactional counseling.The Corporate Counsel will need to be confident and comfortable with senior decision makers and be able to work independently across Sanofi at multiple levels. The Corporate Counsel will provide input on complex and sensitive legal and business issues and will advise his/her internal stakeholders in a manner that advances the company’s strategy while addressing legal and regulatory risks and preserving and protecting the company’s integrity and reputation. The Corporate Counsel will be expected to provide prompt, strategic, useful, and thorough input to internal clients and senior management regarding complex and wide-ranging legal matters, particularly in the area of advertising and promotion, fraud and abuse, and other applicable healthcare laws. **Main Responsibilities:*** Serve as the primary legal contact for assigned products and/or business units, acting as legal reviewer for advertising and promotional materials, as well as collaborating with other practice areas and functions relating to the assigned products and/or business units.* Act as a partner to the business in considering, developing, and executing initiatives relating to such products or business units.* Manage the review and negotiation of certain contracts and amendments relating to the relevant product and/or business unit. The candidate must be flexible enough to manage multiple subject matter issues across diverse areas of the company, taking the initiative to identify appropriate subject matter experts and coordinating overall review.* Work with cross-functional stakeholders to assist them with adherence to Sanofi’s policies, understand legislative developments that may impact our business, and work through direct and indirect management of both internal and external resources. This requires a high degree of organizational skill and focus on detail.* The Corporate Counsel operates with limited supervision, and therefore requires a high level of balanced judgment and an ability to independently discern and establish priorities. Agility and willingness to learn about various subject matters (both from a legal and business perspective) are highly valued. Ability to identify potential legal issues (focusing on promotional matters, regulatory issues, and fraud and abuse) as well as proposed solutions to mitigate risk is required.* The Corporate Counsel must demonstrate the following behaviors in partnering with cross-functional stakeholders: strategic business ownership, external awareness, impact-based counseling, proactivity, innovation, and focus on value creation. Our client, a prestigious global law firm, is seeking a highly skilled Corporate Paralegal to join their Corporate practice group. This is an exciting opportunity to work with a team that advises a wide range of clients—from innovative startups to established public companies—on complex transactional, governance, and compliance matters.

Position Overview

The ideal candidate will have a strong law firm background with demonstrated experience in capital markets transactions (specifically Section 16 filings) and start-up equity management using platforms like Carta. This paralegal will support attorneys in public company compliance, venture financings, and other corporate matters.

Key Responsibilities

  • Prepare and file Section 16 reports (Forms 3, 4, 5) with the SEC.
  • Manage and update cap tables using Carta or similar equity platforms.
