Key Responsibilities

  • Support the end-to-end execution of transactions, including reviewing and negotiating NDAs, term sheets, purchase agreements, credit agreements, and other ancillary documents.
  • Manage the legal due diligence process for potential investments, working closely with external counsel and the investment team to identify and assess key legal risks.
  • Assist in the formation and maintenance of investment funds and other vehicles, including reviewing and negotiating LPA side letters and other investor-related documents.
  • Provide ongoing legal support for portfolio companies, including advising on corporate governance, contract negotiations, and other general corporate matters.
  • Draft, review, and negotiate a wide variety of commercial contracts for the management company, including vendor, office lease, and confidentiality agreements.
  • Partner with the Chief Compliance Officer to help ensure the firm's adherence to applicable securities laws and regulations.
  • Manage and coordinate external legal counsel across multiple jurisdictions to ensure efficient and cost-effective service.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school and admission to a state bar (Texas preferred).
