Job Description

We’re seeking a future team member for the role of Senior Vice President, Anti-Corruption and U.S. Government Contracting, to join our Financial Crimes Compliance team. This role is located in Washington D.C., Pittsburgh, PA or Lake Mary, FL.

In this role, you’ll make an impact in the following ways:

  • Provide subject matter expertise on anti-bribery and corruption compliance requirements, with particular emphasis on pay-to-play laws, political contribution rules and interactions involving public officials.
  • Support the ongoing development, implementation and enhancement of BNY’s anti-corruption compliance framework, including associated policies, procedures and controls.
  • Advise business lines and control partners on U.S. government contracts, regulatory requirements, risk scenarios and escalations involving gifts and entertainment, hiring practices, third parties, political contributions, procurement lobbying, and other ABC-related matters.
  • Assess inherent and residual risk relating to bribery, corruption and pay-to-play exposure and recommend pragmatic, risk-based controls and mitigation strategies.
  • Review and challenge business activities, transactions and relationships that may present heightened bribery, corruption or political law risk.
  • Monitor regulatory developments, enforcement actions and industry best practices to help inform program enhancements and compliance guidance.
  • Partner with key stakeholders across Legal, Enterprise Risk, Internal Audit, the People Team, Government Affairs, and the businesses to support investigations, issue remediation, governance and reporting.
  • Assist in preparing materials, metrics and management reporting for senior leadership and relevant governance forums.
  • Support compliance training and awareness initiatives designed to promote understanding of anti-bribery, corruption and pay-to-play obligations across the firm.

To be successful in this role, we’re seeking the following:

  • Bachelor’s degree or equivalent combination of education and professional experience required. Advanced degree, such as a JD or master’s degree, preferred.
  • 10-12 years of professional experience
  • Strong expertise in pay-to-play laws and political contribution compliance, including U.S. regulatory frameworks relevant to investment advisers, public funds and government-related business activity. Some familiarity with PAC compliance preferred.
  • Significant experience in financial crimes compliance, ethics and compliance, or regulatory advisory, preferably within financial services or another highly regulated industry.
  • Deep knowledge of anti-bribery and corruption laws, rules and regulatory expectations, including practical experience implementing and overseeing related compliance controls.
  • Demonstrated ability to provide effective challenge and trusted advisory support to senior stakeholders on complex compliance and reputational risk matters.
  • Strong written and verbal communication skills, with the ability to translate regulatory requirements into clear, actionable business guidance.
  • Proven analytical, organizational and problem-solving capabilities.
  • Ability to operate effectively in a large, matrixed, global organization with multiple stakeholders and competing priorities.

The Role

Role Responsibilities

  • Lead customer, procurement, and strategic commercial negotiations and transactions, including drafting, reviewing, and negotiating software, SaaS and hybrid cloud services, AI-related offerings, and strategic partnership agreements. Collaborate with Sales, Finance, Security, IT, and Compliance teams to deliver on time and problem-solve while managing stakeholder and customer communications.
  • Be a reliable and trusted advisor to internal stakeholders by providing creative, strategic legal advice and business counsel on commercial, operational, and strategic legal issues, and negotiating a high volume of contracts with varying complexity. Identify issues and provide solutions.
  • Engage with customers to ensure they feel listened to and heard, and deliver value.
  • Suggest and implement process improvements, such as new standard forms or variations to enhance efficiency and align with business and product requirements.
  • Demonstrate agility and enjoyment working with AI legal technology tools by identifying which tools work best for different purposes and being willing to try new ones.
  • Lead and support strategic pricing initiatives, pricing governance projects, and commercial model optimization, partnering with Finance, Global Business Operations, and business stakeholders.

Qualifications

  • Preferred Qualifications: Eight (8) or more years of relevant experience in-house and/or at a law firm supporting technology transactions.
  • Extensive experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnerships, and enterprise commercial agreements.
  • Experience supporting complex commercial contracting environments.
  • Strong understanding of technology, including legal technology, cloud services, software licensing models, information security, privacy, intellectual property, and regulatory considerations.
  • Experience supporting AI-enabled products and emerging technology issues.

  • Desirable but not required: Basic knowledge of data privacy laws and practices in a SaaS context involving the security and processing of customer data that may include personal information.
  • Desirable but not required: Experience with government technology procurement contracting (state, federal, local), and familiarity with GSA, SEWP, FAR; basic knowledge of FedRAMP and applicability to SaaS offerings.
  • Desirable but not required: Understanding of software development, computer technology, SaaS infrastructure and services, open-source communities, and IP concepts and laws.
  • Education: JD degree from an accredited law school and license to practice in the United States.

Compensation and Benefits

Relativity is committed to competitive, fair, and equitable compensation practices. This position is eligible for total compensation including base salary, an annual performance bonus, and long-term incentives. The expected salary range is between $183,000 and $275,000. The final offered salary will be based on experience, skill set, qualifications, and internal pay equity. Hiring at the top end is not typical to allow for future growth.

Your primary focus will be:
