Director, Corporate and Securities Counsel

We are seeking a seasoned Corporate and Securities attorney to join our expanding legal team. Reporting to the VP, Deputy General Counsel and Chief Compliance Officer, you will lead securities law and governance matters while managing a small team of legal professionals. You will drive process improvements and operational efficiencies while serving as a strategic business partner to the finance, equity, people, and leadership teams.

This role will be based at our San Mateo, CA headquarters (hybrid with Tues-Thurs in office days) and reports into the Deputy General Counsel-Chief Compliance Officer.

You will:

  • Direct the preparation and filing of SEC reports (10-K, 10-Q, 8-K) and ensure NYSE compliance, leveraging AI tools to enhance disclosure drafting and consistency.
  • Oversee the preparation and review of earnings releases and public announcements in collaboration with Finance, Investor Relations, and Marketing.
  • Manage board and committee logistics, including agendas, materials, minutes, action items and corporate governance matters.
  • Oversee the management of domestic and international subsidiaries, including intercompany funding, incorporations, and annual maintenance.
  • Provide legal advice and support in connection with stock plans, executive compensation, investor relations, shareholder outreach, affiliate transactions, and other corporate matters.
  • Lead legal efforts for capital markets transactions.
  • Lead the annual meeting and proxy process, leveraging AI tools to enhance disclosure drafting and stakeholder engagement.
  • Own and continuously improve insider trading compliance, including policies, training, trading windows, and Rule 10b5-1 administration, incorporating automation and self-service AI tools.
  • Support capital markets activities, including share repurchases, debt financing, and associated disclosure considerations.
  • Develop and implement corporate policies, including Code of Conduct, anti‑bribery, AML, and sanctions compliance.
  • Partner with the legal and advocacy team to advise senior management and the board on corporate governance trends and regulatory developments.
  • Partner with cross‑functional teams, including finance, controller, tax, corporate communications, marketing, product compliance and other legal professionals on various projects.
  • Provide strategic leadership and mentorship to the corporate legal team, focusing on workload prioritization and process standardization.

You Have:

  • Strong academic credentials and are a California admitted lawyer.
  • 12+ years of legal experience with public company in‑house experience highly preferred.
  • Outstanding communication skills, both written and verbal, including the ability to advocate for a position while maintaining a collaborative and open‑minded approach.

The actual base pay is dependent upon a variety of job‑related factors such as professional background, training, work experience, location, business needs and market demand. About the Job

Array Labs is looking for our first internal legal hire who is ready to step into a true zero-to-one environment. You will partner directly with our business development and sales teams to help structure and close agreements across our diverse business lines, including imagery and data licensing, radar hardware/payload sales, and government contracting.

Rather than functioning as a traditional gatekeeper, you will act as a strategic advisor and enabler who helps us solve complex business problems while appropriately calibrating risk. In addition to deal work, you will build out our foundational legal infrastructure and serve as the central liaison for our specialized outside counsel.

Responsibilities

  • Partner hand-in-hand with the business development and sales teams to draft, review, and negotiate commercial contracts. You will take the lead on structuring agreements across our core revenue streams: imagery and data licensing, radar hardware, and payloads. Your goal is to facilitate the timely execution of agreements that advance the company's commercial interests.
  • Advise the team on balancing business objectives with legal protections, offering actionable solutions (such as structuring practical indemnities) rather than simply identifying roadblocks. You will provide guidance on where to hold firm on critical risk exposure and where concessions are commercially reasonable.
  • Help build our commercial legal function from the ground up. You will draft standard templates, establish scalable contracting processes, and work with capture teams to develop negotiation playbooks that will serve as the foundation for the company's long-term legal infrastructure.
  • Serve as the interface for specialized external counsel and corporate attorneys. You will ensure that their work on IP, regulatory compliance, and fundraising remains fully aligned with the company's operational priorities and broader business strategy, while exercising internal judgment on risk decisions that require a business-informed perspective.

Basic Qualifications

  • J.D. from an accredited law school and an active membership in good standing with the California State Bar.
  • 8+ years of relevant legal experience, including at least one in-house counsel role where you have operated as an embedded business partner.
  • A strong background in technology agreements, data and software licensing, and hardware sales, with demonstrated experience drafting, reviewing, and negotiating a broad range of commercial contracts. Experience with government contracting is highly desirable.
  • Demonstrated business acumen to distinguish between theoretical legal risk and actual commercial exposure. You have a track record of offering constructive solutions that find a way to “yes” without compromising critical legal protections.
  • Comfortable building a legal function from the ground up, with a track record of translating ad‑hoc legal work into repeatable, scalable processes and templates, including doing the foundational work required of a startup environment.

  • Demonstrated experience structuring and negotiating complex hardware component, manufacturing, and supply chain agreements, with an understanding of the legal and operational interdependencies across the full commercial lifecycle.
  • Familiarity with the regulatory and IP landscape governing hardware development, with experience directing external counsel on IP and compliance matters ensuring legal strategy remains aligned with operational realities.
  • Prior legal experience in aerospace, satellite, or Earth observation, with a particular emphasis on commercializing geospatial data or Synthetic Aperture Radar (SAR) products.

Scope

To assist a counselor with the supervision and programming for a group of assigned campers to gain as much experience as possible in all phases of camp counseling and assist in other departments as necessary. General Duties

  • Attend and participate in all camp programs and spiritual activities.
  • Maintain standard of cleanliness in personal grooming and in living quarters.
  • Assist with the clean-up of the total camp at the end of each session and at the conclusion of the summer.

Specific Duties

Safety and Supervision:

  • Enforce camp policies and procedures.
  • Maintain the utmost level of safety for staff and campers at all times.
  • Ensure compliance with American Camping Association standards of safety and programmatic conduct at all times.
  • Coordinate and implement all program components relative to the daily schedule in a timely fashion.

Weekly Responsibilities

  • Assist Counselor in providing leadership, care and guidance of a group of assigned campers on a daily basis.
  • Be an active participant in the initial cabin meeting for your assigned cabin group.
  • Assist with supervision of assigned camper group while in the dining room.
  • Assist with daily clean up of the cabin living area.
  • Plan and conduct one cabin devotion per week.

  • Assist with leadership in the various program areas as assigned and coordinate your preparation with the Unit Leader.

  • Complete any required forms as may be related to camper or program evaluation, or health documentation.
  • Complete the daily entries required in the Camper Log book as needed throughout the day.
  • Attend Weekly Camp Out unless given the specific permission otherwise.
  • Assist with other duties as needed.

Position Overview

Seeking a highly skilled and motivated mid-level Commercial Real Estate and Finance Attorney to join a dynamic and growing boutique law practice. This role offers an exciting opportunity to work on complex transactions and provide legal counsel on various commercial real estate matters.

Key Responsibilities

  • Draft and negotiate documentation related to acquisition, development, financing, leasing, and disposition of mixed‑use, retail, office, multifamily, and hospitality properties.
  • Handle purchase and sale agreements, leases, loan documents, and other essential real‑estate‑related contracts.
  • Provide counsel on various financing arrangements including cash‑flow transactions, asset‑based transactions, bridge lending, and mezzanine financing.
  • Collaborate closely with clients to understand their needs and objectives, providing tailored legal advice.
  • Take an active role in chairing transactions and managing deals, supported by an experienced team.

Qualifications

  • Minimum of 5 years of experience in commercial real estate and finance.
  • Strong background in drafting and negotiating commercial real estate and finance‑related documents.
  • Experience with diverse financing arrangements (cash‑flow, asset‑based, mezzanine financing) is advantageous but not required.
  • Excellent communication skills and solid attention to detail.
  • Ability to manage and lead transactions with confidence and competence.
  • Genuine interest and curiosity about the business of commercial real‑estate development, finance, and lending.
  • Experience working in a sophisticated law firm environment is strongly preferred.
